Joint Recommendations: Adult Care, Child Care


JOINT RECOMMENDATIONS from the Administrative Committee and Family Care Ministries Committee

The Administrative Committee and the Family Care Ministries Committee, after thorough study of the Family Care Ministries Department by the Retirement Centers Study Committee, make the following recommendations:

1. That the Oklahoma Baptist Homes for Children Inc., be formed; that the proper incorporation documents be filed with the Secretary of State of the State of Oklahoma; and that a Board of Trustees of not less than five and not more than 25 members be elected by the Baptist General Convention of Oklahoma. It is further recommended that the Board of Trustees of this new corporation work with Ron Argo as acting president of the Oklahoma Baptist Homes for Children Inc., in developing policies, procedures, organizational structure, financial structure, etc. It is understood that this new corporation will not create any debt for capital needs or launch any major expansion projects except upon authority given by a vote of the convention or the convention's Board of Directors.

2. That the Baptist Retirement Centers of Oklahoma Inc., be formed; that the proper incorporation documents be filed with the Secretary of State of the State of Oklahoma; and that a Board of Directors of not less than five and not more than 25 members be elected by the Baptist General Convention of Oklahoma. It is further recommended that the Board of Directors of this new corporation work with Bill Pierce as acting president of the Baptist Retirement Centers of Oklahoma, Inc., taking such time as necessary to develop policies, procedures, organizational structure, financial structure, etc. It is understood that this new corporation will not create any debt for capital needs or launch any major expansion projects except upon authority given by a vote of the Convention, or the Convention's Board of Directors.

3. That the custodial funds which were placed with the Baptist Foundation from the sale of the Oklahoma Baptist Children's Home at 63rd and Pennsylvania, Oklahoma City, be transferred permanently to Oklahoma Baptist Homes for Children Inc.'s custodial funds, and that the earnings from such custodial funds be allocated exclusively to the Oklahoma Baptist Homes for Children Inc.; provided, however that this transfer of custodial funds will not affect title to the Baptist Building currently held by the Baptist Building Corporation, and recommends further that before the transfer of such funds the Baptist General Convention of the State of Oklahoma, The Baptist Foundation, the Baptist Building Corporation and the Oklahoma Baptist Homes for Children Inc. enter into an agreement setting forth, among other things, the party to determine the rate of return to be paid by the Baptist Building Corporation to the benefit of the Oklahoma Baptist Homes for Children, Inc., and providing for the continued investment of such funds in the Baptist Building Corporation, thereby amending that certain "Agreement for Investment of Custodial Fund Held by The Baptist Foundation of Oklahoma for the Baptist General Convention of the State of Oklahoma," entered into by and between the Baptist General Convention of the State of Oklahoma, The Baptist Foundation, and the Baptist Building Corporation, dated March 30, 1990.
